Frequently Asked Questions About Corporate Law

We’d be happy to advise you in person! In the meantime, you’ll find answers here to common questions we’re regularly asked in our corporate law practice.

When do I need a corporate law attorney?

Legal advice is particularly advisable when:

  • a new company is to be formed or restructured,
  • contracts with shareholders, investors, or business partners are involved,
  • managing directors or board members face liability issues,
  • disputes arise among shareholders, or
  • a company is being bought, sold, or split up.

Contact us early on! Our attorneys ensure certainty in all corporate law decisions.

What type of business structure makes sense for my company?

The appropriate legal structure depends on several factors: the desired level of liability, capital requirements, tax considerations, and your long-term business strategy. A GmbH, for example, is well-suited for growth plans and liability limitation, while a GbR or UG is often chosen for smaller startups. We’d be happy to discuss your goals with you. Our specialized attorneys will help you make the right choice.

What is the difference between a GmbH, an UG, and a GmbH & Co. KG?

  • GmbH: Limited liability corporation, minimum capital: 25,000 €
  • UG (limited liability): A “mini-GmbH” with start-up capital as low as €1, ideal for founders on a tight budget
  • GmbH & Co. KG: A combination of a partnership and a corporation—particularly popular among small and medium-sized businesses

We analyze your current situation and help you implement the most suitable legal structure in a way that is optimized for both legal and tax purposes.

What are the responsibilities of managing directors and shareholders?

Managing directors are subject to strict legal obligations. These include proper management of the business, bookkeeping, and tax compliance, as well as ensuring early risk detection and risk management. Breaches of these obligations may result in personal liability. Shareholders, too, must actively participate in accordance with the articles of incorporation—for example, by making additional capital contributions or approving resolutions. We advise you on your rights, obligations, and protection through D&O insurance.

What is due diligence, and when do I need it?

Due diligence is a thorough review of a company and is essential when buying, selling, or acquiring an equity stake. Among other things, it involves reviewing contracts, liabilities, risks, and legal structures. It creates transparency and protects both buyers and sellers from unpleasant surprises. Our attorneys will guide you through the process, from the initial analysis to the successful completion of the transaction.
